LEEWS (Law Essay Exam Writing/Preparation Science/System) changes the game! A proven effective (true) science of descriptive essay preparing for and executing the “A” essay exam, LEEWS is applicable to bar as well as law school exams. Unique, proven systems are put in place for (systematically!) identifying issues [No more haphazard spotting!], presenting analysis in concise paragraphs (roughly one per issue), briefing cases in 2-4 lines(!!), taking far fewer class notes, and compiling condensed, effective, 30-50 page course outlines. And much more. A law student learns—finally—to learn/think as a reasonable facsimile of a [practicing] lawyer. I briefed, outlined my notes, reviewed the law, but still felt totally unprepared for upcoming exams.

This program was exactly what I needed €” the tools to confidently tackle exams in a methodical way. — Jan Court, Univ Texas '00. Just knowing you have a plan €” i.e., the writing job in teaching steps €” keeps you from worrying about panic. €” Rob Goldbaum, U. College. Chicago '92. 3 Sample Law Essay Exams From the LEEWS Primer (with Model Responses) [And an example of LEEWS' effectiveness in foreign homosexuality practice.] 1 Actual Civil Procedure Exam With Model Response (written by essay a LEEWS grad) and anthem rand, Professor Comments.

The entire grade (!!) in most law school courses will depend upon performance on a final exam, most if not all of which is essay in nature. (You are basically asked to identify and essay, analyze so-called issues generated in a hypothetical [made up] and usually complex fact pattern, much as a lawyer might.) Most exams are 3-4 hours in length, and common college, either closed or open book. The former means you bring nothing into the exam with you (save the code in a course based on college essay a code of app essays college rules [e.g., IRS Code in taxation, Federal Rules of college Civil Procedure in civil procedure]). Normally open book allows you to bring in class notes, textbook, outlines, whatever, which tends to reassure students. However, open book is misleading, as there is typically little time to refer to aids. Open or closed book, the thesis statement for a business paper law you need to know should be in your head. Some professors offer take home exams, which may have 8-24 hour time limits, and limits as to how much you can write or type. Essay. Grading is invariably anonymous to protect professors and students alike.

Unlike college and graduate school, class participation, acquaintance with the professor, even midsemester (as opposed to writing statement for a midyear) midterms generally have no bearing on law school grades. Ask professors themselves, or upperclass students about the grading policies and practices of individual professors. There follow three examples of essay hypotheticals selected from among the eight in the appendix of the LEEWS Primer. Following are models of the LEEWS approach to college breaking fact patterns down into units corresponding to common app essays relevant issues [Planning Phase], as well as fully developed written responses corresponding to our format of concise paragraphs, roughly one per issue [Writing Phase]. The law needed to address each hypo is provided, as the subjects may as yet be unfamiliar to you. You may want to attempt a response before looking at the models.

Standard exam writing advice posits that you follow IRAC. I.e., identify the Issue, state the applicable Rule, Analyze, Conclude. Descriptive Essay. (Sounds great, until you realize you don't know what an issue is, much less how to identify all issues lurking in the fact pattern; you don't know how to analyze as a lawyer; and you don't know how to present analysis concisely.) Whether you are familiar with the three subjects tested or no, all essay exercises are predictable in nature. A typically complex and confusing fact pattern is followed by writing a personal question(s)/instruction(s) that in effect require you to identify or spot the legal issues that would be of college interest to a judge or lawyer. You must then resolve those issues, bringing to a personal for a job in bear relevant law and essay, the analytic dialectic between law and facts known as lawyerlike thinking.

Should you find yourself thinking, as you review the model responses, I don't think I can ever do that, unless you have a knack for taking such exams (possessed by only a small handful of students -- 5-7%, even at Harvard), you are probably correct. Over Rand. Which is college essay, why so few law students manage even a single A on final exams. But rest assured that anyone with reasonable intelligence and diligence can produce such responses consistently. Showing you how is college confidential, what LEEWS is all about -- for any exam in any subject, no matter the descriptive essay question(s)/instruction(s) posed by the professor. Civil Procedure Hypothetical (60 min.) Coris Becker, an occasional tennis player, fell while descending steps at transition list the Only For Us Racquet Club in Long Island City, Queens County, New York. As she explained to her husband moments later by descriptive phone: Not the most graceful move in thesis the world, Morris. I got so mad, I smashed Mommy's new titanium Stroker. Essay. Be a dear and bring home din-din. I'm going to be in the hot tub for hours. Observation Essays. As she limped out to her Lexus, Coris ran into essay the club owner, Jett Setter.

He grinned and common app essays confidential, remarked, I saw that spill, Coris. Not the descriptive most graceful move in development essays the world. At which point Coris determined to sue Setter personally, as well as the club. Although a resident of Queens County, Coris, joined by descriptive her mother, Doris, a resident of Manhattan, New York County, brought suit against Only For Us Racquet Club, Inc. Writing A Personal Statement Job In. (OFU, Inc.) and Jett Setter personally in New York County, seeking damages for Coris' injury and the destruction of the tennis racquet. Thereupon followed, inter alia , the following events and essay, motions: 1 €” OFU, Inc. and Setter moved for a change of venue to foreign thesis about homosexuality Queens County.

2 €” Attempts to serve Setter personally at his club were twice unsuccessful, so a copy of the summons and complaint was affixed to the door of his home. Another was mailed to him. [So-called nail and college essay, mail service.] 3 €” Although the complaint affixed to his door separated from the over by ayn rand summons and descriptive college essay, blew away, and the mailed copy never arrived, Setter, by his attorney, appeared in the action, answered the essays by ayn rand complaint, interposed affirmative defenses, and otherwise defended against the action. College. Only later during an common, appeal did he assert lack of personal jurisdiction as a defense. 4 €” OFU, Inc. served notice of the deposition of a person who, while standing in the next phone booth, had overheard Coris' conversation with her husband. Descriptive College Essay. Coris moved for development, a protective order forbidding disclosure of anything overheard as a privileged conversation. 5 €” OFU, Inc. requested an descriptive essay, admission from Doris that Coris has a tendency to writing for a negligent behavior. Doris ignored it. 6 €” Following a directed verdict during trial dismissing her cause of action for destruction of the racquet, Doris immediately instituted a claim for damages on the same ground in small claims court, Manhattan. You are a law clerk to, where appropriate, both trial and appellate judges assigned to this case.

Prepare a memorandum of law respecting the issues raised in descriptive college the above. List For Cause. Majority state law applies. RELEVANT LEGAL PRINCIPLES FOR CIVIL PROCEDURE HYPO. (Such legal knowledge should be in your head as well as your course outline. Note: The law provided herein may or may not be currently accurate.) Discovery (scope of) €” Generally, all information not otherwise privileged that is relevant to the subject matter of the action is discoverable, whether or not the essay material would be admissible as proof.

Communications between spouses €” A confidential communication between husband and wife is privileged against essays disclosure by either spouse or by a third person (e.g., an eavesdropper). Personal Jurisdiction €” Generally, in order to determine the rights and college, duties of parties to common app essays an action, and to bind the parties personally to its determinations, a court must have in personam jurisdiction over descriptive essay, said parties. Said jurisdiction will be had, inter alia, where a defendant is present in transition list for cause and effect the state where an action is college essay, brought, and personally served with process. Where personal service on a defendant cannot be effected through due diligence, a plaintiff is entitled to substitute such service by affixing a copy of the summons and complaint to the door or other conspicuous place at the defendant's last known address, and also mailing a copy of same by regular mail to said address (so-called nail and for a business, mail). A court has held that three attempts at in hand service at a defendant's place of business, without attempting to serve the defendant at descriptive college home or leave the summons and complaint with a person of suitable age and essays, discretion at the place of business does not satisfy the requirements of due diligence. Waiver of essay €” Where a defendant appears, answers the complaint, interposes defenses, and at writing a personal statement job in no time during or after trial moves to college dismiss based on, nor claims lack of personal jurisdiction, the thesis about defense will be deemed waived on appeal. Requests for admission €” A request for admission imposes a duty on the party served to acknowledge the existence of facts that are not in doubt and essay, that should not be necessary to prove at trial. The party served normally has 30 days to respond.

Failure to timely respond results in the matter being deemed admitted. Inter alia , it is permissible to request that a party admit to for cause essay a legal conclusion (e.g., that an college essay, employee was acting with authority, or that the party was traveling against thesis statement for a paper traffic on descriptive essay a one-way street). However, it is not proper to request an admission to an abstract statement of writing a personal statement law (e.g., that allowing a minor without a license to drive is negligent, per se). Res Judicata €” Doctrine that for reasons of economy, prevention of essay harassment, and avoidance of inconsistent judicial rulings (policy!), the relitigation of claims and common app essays confidential, issues is generally prohibited. Claim preclusion €” Doctrine whereby a final judgment on college essay the merits of a claim or cause of essays over anthem by ayn rand action precludes reassertion of that claim or cause of action in a subsequent suit.

Venue €” Refers to the proper place for descriptive college, trial of a lawsuit. The purpose of venue rules is to prevent a plaintiff from forcing a defendant to trial where it would be burdensome for him to appear and defend (policy!). Unless compelling reasons exist to direct otherwise, a transitory action (meaning that the transaction which is the subject of the action could have happened anywhere) should be tried in the county where the action arose. MODEL RESPONSE TO CIVIL PROCEDURE HYPOTHETICAL. (1/4 - 1/3 of allotted time divided into 10-15 minute intervals) Preliminary Overview €” Six distinct events/motions. Perform Steps One, Two, and Three (The Blender) on each is my initial perspective on how to statement proceed. [Always the Steps, always the Steps €” a constant way of descriptive college thinking.] Step One €” [Conflict pairings and party objective(s) for each of the statement for a business paper six events/motions.] The conflict pairings for all six are either Coris and/or Doris versus OFU, Inc. and/or Jett Setter. [The consistent overall objectives are to obtain damages on descriptive essay one side and to avoid liability on the other. However, given that this is a civil procedure exam, the about homosexuality objectives that count for purposes of generating premises are intermediate in nature.

In the larger (intermediate) sense they are to keep the litigation going versus termination on a procedural ground. More immediate to the six events/motions:] 1 = Change venue to Queens County vs. keep it in college Manhattan County. 2 = Establish personal jurisdiction vs. not. 3 = Have lack of personal jurisdiction defense ruled moot vs. exists and viable. 4 = Preclude disclosure of overheard conversation vs. have it ruled discoverable. 5 = Have fact admitted vs. not admitted. 6 = Have claim heard in small claims court vs. dismissed. [My view at this point is thesis statement for a business, that each event/motion will generate no more than one or two premises, and will be relatively straightforward of analysis. Therefore, the time to be allotted each will be roughly the same.

As it would interrupt continuity of train of thought and college essay, be time wasting to continue applying the observation development Steps to all six, from this point on I shall work on each question to completion before going on to the next .] Step Two €” [Consider each pairing, party, and objective. Descriptive. Cull facts (and course outline) for transition words and effect essay, relevant premises.] 1 = Venue of transitory action is overriding , (i.e., governs the determination, no matter which party's perspective/objective is college, considered. See definition of essays over anthem Step Two and footnote, page 104.)

2 = Nail and mail service vs. due diligence rule. [Complete analysis/discussion of No.2 (7-8 minutes??), then on to No.3; . . Descriptive Essay. . No.4; . . . 5; . . . 6.] 3 = Rule re lack of personal jurisdiction and grounds for waiver thereof overrides. 4 = Rule re discovery of homosexuality spousal communication overrides. 5 = Requests for admission, and failure to respond thereto overrides. 6 = Res judicata rules override. Step Three €” [Consider each premise to note missing elements or real issues.] [Since there appear to college be but one or two premises to be considered for transition list essay, each event/motion, and since I am working on each exclusive of the others, Step Three is unnecessary as an independent exercise. It is part and parcel of inspecting the law giving rise to the premise under consideration to determine whether it is college, necessary to state all of the law to begin the transition and effect essay first paragraph of analysis, or whether one or more elements can be focused on as pivotal.] Preview of a logical sequence for discussion €” No overlap of discussion apparent. College Essay. No reason apparent not to for a proceed in the chronology given. [When question(s)/instruction(s) offer a labeling format, you of course normally use it.

The professor/bar grader will likely be looking for it (Here -- 1,2,3, etc. It seems unnecessary, time wasting, and probably confusing to mention conflict pairings here. However, I am thinking of and guided by descriptive them.] Generally, unless compelling reasons exist to direct otherwise, a transitory action [flag relevant law with underlining or boldface] should be tried in the county where the action arose. Observation. Transitory has been defined to mean that the transaction that is the subject of the action could have occurred anywhere. Coris' fall and the destruction of the racquet could have occurred anywhere. [Concludes statement of relevant premise, i.e., controlling legal precept, that abruptly begins every paragraph.] Moreover, Coris, Only For Us, Inc. (OFU), and Jett Setter all reside in Queens County.

The residence in New York County of Coris' mother, Doris, whose claim is minor, is the descriptive college essay only apparent reason for trying the action in New York County. It is hardly compelling. [Concludes lawyerlike analysis -- application of law to relevant facts.] Conclusion : The motion should be granted. [No hedging, as this seems open and shut.] So-called nail and mail service will satisfy the requirements of personal jurisdiction only where personal service on a defendant cannot be effected through due diligence. [Law.] It has been held that three attempts at in hand service at common app essays a defendant's place of college business, without attempting to serve the thesis statement paper defendant at home or leave the summons and complaint with a person of descriptive college essay suitable age and discretion at the place of business does not satisfy the requirements of transition words for cause essay due diligence. Plaintiffs made no attempt to serve defendant Setter personally other than twice unsuccessfully at his place of business. [Analysis.] Conclusion: The attempted nail and mail service was likely [Hedging!] ineffective for lack of college essay due diligence. Where a defendant who has not been properly served nevertheless appears in an action, answers the complaint, and interposes affirmative defenses, but never moves to list dismiss for lack of descriptive personal jurisdiction, nor at foreign about any time claims lack of personal jurisdiction, the descriptive college essay defense of lack of personal jurisdiction will be deemed waived upon the taking of an transition words for cause and effect, appeal. [Law.] Setter, as concluded above, was never properly served. Nevertheless, he appeared, answered the complaint, defended in the action, and at no time prior to appeal claimed lack of personal jurisdiction. Descriptive College. Arguably, raising the claim on essays over appeal is college, after trial.

However, waived upon the taking of an appeal clearly indicates that the time for raising the claim would be deemed tolled. [Analysis.] Conclusion : Setter's defense of lack of personal jurisdiction would be deemed waived on appeal. Generally, all information that is not privileged and is relevant to the subject matter of the action is discoverable, even if not admissible as proof. Confidential communications between husband and wife are privileged from disclosure by either spouse and by a third party (e.g., an eavesdropper). [Law.] Coris' statement that she had smashed the racquet was relevant for its truth, as well as an words for cause and effect essay, indication of Coris' truthfulness. Essay. Confidential normally implies private or secret. [Add clarification, or law, where needed, and list essay, appropriate.] A conversation at a phone that was apparently near other phones would not seem confidential.

Moreover, given that Coris had not yet determined to sue, her statement in the context of remarks about dinner and a hot tub seems merely casual. [Analysis.] Conclusion : The motion will fail. The conversation with the husband was not confidential, and therefore not privileged. A request for an admission imposes a duty on descriptive college essay the party served to acknowledge the foreign thesis homosexuality existence of descriptive facts that are not in doubt and that should not be necessary to prove at common app essays college trial. However, inter alia, it is not proper to request an admission to an abstract statement of law (e.g., that allowing a minor without a license to drive is negligent, per se). The statement in question seems manifestly a matter that is in some doubt, and that may be necessary to prove at trial. Moreover, in that negligence is a legal conclusion, the statement would appear to be an abstract statement of law.

Conclusion : Doris' disregard of the request is descriptive, of no consequence, as said request imposed no duty of acknowledgment. A final judgment on the merits of a claim or cause of action generally precludes reassertion of that claim or cause of writing a personal job in teaching action in a subsequent suit. Doris' action in small claims court is grounded in the same facts (destroyed tennis racquet) and sets forth the same cause of action as the one dismissed in the primary action herein. A directed verdict during trial seems both a final judgment and a judgment on the merits. Conclusion : The action in small claims court would be dismissed as res judicata. Corporations Hypothetical (50 min.) The RIP Corporation, formed in 1998 by the Bottomline brothers, Ohmy, Padthe, and Savethe, for the purpose (as duly set forth in descriptive essay its bylaws and articles of foreign thesis incorporation) of descriptive essay manufacturing and retailing so-called landscape rape accessories for four wheel drive and other off-the-road vehicles, quickly prospered and went public. Between 1999, when 100,000 shares were first sold over the counter, and 2001 the total value of RIPCORP (as the enterprise was affectionately known) shares, after two splits, rose tenfold to forty million dollars. Flush with their success and invincible in their avarice, the Bottomline brothers led RIPCORP in essays by ayn rand the aggressive pursuit of profit wherever it might be found. Essay. The brothers held the chief executive positions in the corporation, as well as a majority of seats on the board of directors.

They further owned thirty percent of the outstanding shares, by far the largest voting block. Writing A Personal For A. Thus, acquiescence in their increasingly bold ventures was virtually assured. Matters began to essay tangle when Meddle, a shareholder of record since purchasing 100 shares at the initial offering, took umbrage at RIPCORP's proposed acquisition of Southeast Asia ski resort options. In the fall of 2001 Meddle sought permission to inspect the RIPCORP minutes and other records relating to the ski resort venture. When she refused to transition words list and effect accede to the demand of the Bottomline brothers that she first divulge her intentions regarding the inspection, the brothers issued a directive limiting access to the books and college, records to persons cleared by them, and child, under no circumstances to Meddle or her representative. Thereupon Meddle brought suit in her own right and on behalf of RIPCORP against descriptive the corporation and the Bottomline brothers personally to gain access to the books and thesis statement business, records, to block the ski resort venture as an ultra vires act, and for repayment by the RIPCORP board of directors of any expenses incurred in connection with the pursuit of descriptive college said venture.

1) RIPCORP moved to statement business dismiss the action for, inter alia, lack of descriptive standing, failure to first make a demand on the board of directors, and transition words for cause and effect essay, failure to state a cause of action. 2) RIPCORP moved in the alternative that the court require Meddle to post $25,000 security for costs as a precondition to college essay continued maintenance of the suit. 3) Meanwhile, the RIPCORP board passed a resolution providing for indemnification of the directors in the event Meddle prevailed, and purchased insurance to provide for same. Meddle immediately moved to quash these actions. How should the court decide the motions under 1, 2, and 3 above? RELEVANT LEGAL PRINCIPLES FOR CORPORATIONS HYPO. Ultra vires acts €” Generally includes acts beyond the purpose or powers of the corporation, and sometimes includes acts within the purposes and powers of the corporation, but performed in an unauthorized manner or without authority. Many jurisdictions now restrict ultra vires challenges to the following: 1) the foreign thesis right of a shareholder to enjoin unauthorized corporate acts; 2) the right of the attorney general of the college essay state to enjoin such activities; 3) the transition words list and effect right of the corporation to recover damages from the officers and/or directors (present or former) responsible for the ultra vires act(s). Shareholder inspection rights €” Generally, shareholders have a limited right, founded in common law and statute, to inspect corporate books and college, records which are relevant to anthem a proper purpose. Courts will determine whether a purpose is proper.

A shareholder may examine the stock book and college, minutes of stockholder meetings on demand if 1) he has been a stockholder of record for at least six months immediately preceding the demand; or 2) he is a holder of 5 percent of any class of outstanding shares. Shareholder rights of action €” Generally, a shareholder may sue the list for cause and effect corporation in college his own name to enforce his rights as a shareholder, and/or on behalf of the corporation to procure a judgment in favor of the development essays corporation. The latter derivative action may be maintained only if 1) the descriptive plaintiff is a shareholder when the action is brought; 2) the plaintiff was a shareholder when the alleged wrong to the corporation occurred; and 3) the plaintiff shows in his complaint that he has demanded that the board of directors commence the action, or that there are sufficient reasons for not making the demand (e.g., the board members are the over rand defendants). Note that in order to minimize the possibility of derivative actions without merit being brought merely for nuisance value settlements or counsel fee awards, the corporation may require the plaintiff to post security for costs, unless 1) the plaintiff or plaintiffs hold at least 5 percent of any class of outstanding shares; or 2) the value of their shares exceeds $50,000. Indemnification €” Generally, a director or officer may not be indemnified (reimbursed) against college a judgment obtained against foreign thesis homosexuality him in a direct action by descriptive college essay the corporation, or a derivative action on behalf of the corporation, or for amounts paid in settlement thereof.

The director may, however, be indemnified against expenses of defending the by ayn action, unless, inter alia, he is adjudged to have violated his fiduciary duty of good faith and descriptive, reasonable care in the circumstances. Thesis For A. The corporation may purchase insurance to indemnify officers and directors for even the essay above judgments, providing no deliberate dishonesty or unlawful gain on the part of the officer/director is shown. MODEL RESPONSE TO CORPORATIONS HYPOTHETICAL. Preliminary Overview €” The three motions referred to by the question are like three questions, each to be considered separately. Words For Cause And Effect. [Note the enormous benefit here of essay skipping over the facts.] Step One €” Conflict pairing(s) : [A quick review of the motions in child development conjunction with the sentence that precedes them reveals the single conflict pairing throughout.] RIPCORP, Inc. v. Descriptive. Meddle, etc., or vice versa for each motion (i.e., question).

Objectives : [Somewhat confusing, as the sentence immediately preceding the motions reflects three ultimate objectives of Meddle. However, the objectives relevant to a Step One analysis and the question are implied in the three motions. Note that motion #1 also provides Movant RIPCORP's premises (!!). Whether the ultimate objectives will be achieved depends upon resolution of the motions.] 1) dismiss the essay action versus keep it going; 2) $25,000 security be required to be posted, versus not; 3) board indemnification resolution and purchase of insurance be quashed, versus maintenance of same.

Step Two €” [RIPCORP is descriptive college essay, movant for motions 1 and 2, Meddle for 3. The motions themselves, especially the first, point to child overriding premises. In that a court may dismiss all or part of a suit, each premise must be considered in light of each of Meddle's objectives set forth in descriptive essay the preceding sentence . The facts in the first two paragraphs need only be considered for foreign thesis about homosexuality, purposes of analysis.] 1) Lack of standing, failure to first make a demand on the board, and failure to state a cause of descriptive action respecting each of Meddle's three objectives = potentially nine discussions. but probably not. 2) [Must refer to relevant portions of corporations toolbox.] The law [Noted in toolbox only. Don't write it in your outline.] respecting requirement that a shareholder plaintiff in foreign about action against corporation post bond.

3) The law respecting indemnification and/or insurance of directors in such a suit. Step Three €” [The motions seem more or less equivalent in weight. Descriptive College. Given the complexity of the relevant premises noted in Step Two, the effort necessary for a Step Three analysis seems needlessly duplicative of the analysis to be performed in writing the thesis for a business paper actual response. Therefore, it seems advisable to skip Step Three and go to the writing phase .] Preview of a logical sequence for discussion €” No reason apparent for not proceeding chronologically. Lack of standing/failure to state a cause of action. Generally, a shareholder may sue the corporation in college her own name to words for cause and effect essay enforce her rights as a shareholder, and/or on descriptive behalf of the corporation to procure a judgment in favor of the corporation. Inter alia, the latter derivative action can be maintained only if the plaintiff is a shareholder when the action is essays over, brought and when the alleged wrong to college the corporation occurred. Meddle (M) is currently a shareholder, and has been since long before the app essays college ski resort venture.

Generally, shareholders have a limited right, founded in essay common law and statute, to inspect corporate books and records which are relevant to a proper purpose. Courts will determine whether a purpose is proper. A shareholder may examine the stock book and minutes of stockholder meetings on demand if she has been a stockholder of record for at least six months immediately preceding the demand; or she is a holder of five percent of words essay any class of outstanding shares. M's 100 shares, presumably grown after 'two splits to 400, constitutes much less than five percent of any class of shares. However, she has been a stockholder of record since the initial offering, over two years prior. So-called ultra vires acts €” acts beyond the purposes or powers of the corporation, and sometimes acts within the purposes and powers of the corporation, but performed in an unauthorized manner or without authority may properly be challenged by shareholders. Moreover, the corporation may recover damages from the officers and/or directors (present and descriptive college essay, former) responsible for the ultra vires act(s) . Given that RIPCORP's stated corporate purpose is to manufacture and retail accessories for off-road vehicles, the Southeast Asian ski venture (Venture) has the appearance of an ultra vires act for which damages may be sought. Failure to first make a demand on the board. Another requirement for maintaining a derivative action is that the plaintiff demand that the board commence the action, or there be sufficient reasons for thesis about, not making such demand (e.g., the board members are the descriptive college defendants).

The Bottomline brothers are named in M's suit and hold a majority of seats on the board, thereby satisfying the exception. Conclusion : The motion should be denied, as all of RIPCORP's challenges lack merit. Corporations, in order to minimize the possibility of derivative actions without merit being brought merely for nuisance value settlements or counsel fee awards, may require a shareholder plaintiff to post security for costs , unless the observation child plaintiff or plaintiffs hold at least five percent of any class of outstanding shares, or the value of their shares exceeds $50,000. M's 100 shares constituted but 1/10th of one percent of the initial 100,000 share offering. Their value at the time of the suit would have been 1/10th of one percent of forty million dollars, or approximately $40,000. However, M has been a shareholder since the very beginning of the corporation, and, as set forth, supra , a challenge to the Venture seems hardly without merit. [Yes, basic math may be necessary!]

Conclusion : Although M falls $10,000 short of the $50,000 exception, the motion should probably be denied. Given that M's sharehold nearly satisfies the exception, and descriptive college essay, the policy justification underlying the essays over anthem by ayn security requirement seems utterly lacking, it is unlikely that a court would permit the corporation to impose this financial impediment. Descriptive Essay. [Note the use of the policy underpinning as a basis for anthem by ayn, a counterargument.] Generally, a corporate director (or officer) may not be indemnified against descriptive essay a judgment obtained against him in a direct action by the corporation or a derivative action, or for amounts paid in settlement thereof. The director may, however, be indemnified against expenses of defending the action, unless, inter alia, he is common app essays, adjudged to have violated his fiduciary duty of essay good faith and reasonable care in confidential the circumstances. The corporation may purchase insurance to indemnify officers and descriptive college, directors for even the above judgments, providing no deliberate dishonesty or unlawful gain on over by ayn rand the part of the officer/director is shown. [Given this much legal preamble, it seems appropriate to descriptive begin the analysis in a new paragraph.] M's action is in part derivative on behalf of RIPCORP, and thesis about, a judgment obtained in this respect cannot be indemnified against. The facts are unclear about whether the resolution indemnifies against expenses of defending against the action. Assuming, arguendo , that it does, the inherent improbability, indeed inherent folly of the Venture, coupled with its seeming obvious ultra vires aspect, strongly suggests a violation by the directors of their duty to exercise reasonable care, if not a violation of their duty to act in good faith. However, given that RIPCORP appears to essay have been engaged for words list for cause and effect essay, some time in a pattern of college essay divers schemes wholly unrelated to its stated purpose, it is unlikely that a court would be willing to take judicial notice of such a conclusion so early in the proceedings.

Nothing in writing statement for a job in the facts suggests deliberate dishonesty or unlawful gain on the part of descriptive any RIPCORP director/officer that would preclude the purchase of thesis homosexuality indemnification insurance. Conclusion : The motion should be granted as to any portion of the resolution that purports to indemnify against judgments obtained on behalf of the corporation, denied as to portions that indemnify against judgments obtained by M, and denied with leave to renew at a later time with respect to all other portions. T properly executed a will in 1994, by the terms of which he distributed his entire estate in the following manner: First: I bequeath my racehorse, Swayback, to my friend, X. Second: I bequeath $100,000 to my brother, Y. Third: I give, devise, and bequeath the rest, residue, and descriptive college, remainder of my estate to my faithful companion, Z. In 1998, having fallen out with Z, T properly executed a new will with the following terms:

First: I bequeath $100,000 to my brother, Y. Second: I give, devise, and bequeath the rest, residue, and remainder of my estate to my (new) faithful companion, B. In 1999, having reconciled with Z and spurned B, T properly executed a codicil to his 1994 will, by development essays the terms of which he increased the legacy to Y to descriptive $150,000; and in thesis statement for a business all other respects he ratified, confirmed, and republished the 1994 will. T died in 2001. In a probate proceeding the evidence established the following: 1) Although sober when he made the codicil in college essay 1999, T was drunk out of his mind when he executed the development 1994 will. 2) T sold Swayback to a syndicate in 1997 for $200,000. 3) Inadvertently in essay 2000 T, falling asleep at his desk with cigarette in hand, set fire to some papers. One of the papers destroyed was the original copy of the 1999 codicil, which T had been reviewing.

4) Y died in 2000. 5) S, the son of Y, was one of several witnesses to transition words list for cause and effect essay T's execution of the 1994 will. Discuss the rights of the essay various parties in observation child terms of who takes what from T's estate. RELEVANT LEGAL PRINCIPLES FOR WILLS HYPOTHETICAL. Ademption €” Occurs when a specific legacy (defined below) is not in existence or not in the possession of the testator when he dies (because, for example, it has been sold or given away). When an ademption occurs, the essay legatee takes nothing. Death of a beneficiary €” A disposition to about homosexuality a beneficiary who predeceases the testator ordinarily lapses (returns to the estate).

By statute in many jurisdictions, however, dispositions to beneficiaries who are issue or siblings do not lapse, providing such beneficiaries have surviving issue. Such surviving issue will take the legacy in equal proportions per stirpes . Disposition of descriptive college estate €” Shall be in about accordance with a decedent's last will and testament. Execution of a will €” A properly executed will implies at least two witnesses thereto who do not stand to take under said will. Republication €” A properly executed codicil to a revoked will operates as a republication of a will that is, in form, properly executed. This is so despite the fact that the will so republished may have been invalid for want of testamentary capacity at the time of making. Revocation €” As a general rule, a subsequent will that is entirely inconsistent with a prior will, or a later will that makes a complete disposition of the testator's property, shall be deemed to have revoked the prior will by descriptive college implication. A will may further be revoked by means of its physical destruction. Such destruction, however, must be accompanied with the by ayn rand intent and for the purpose of revoking the will. Specific legacy €” A bequest of a particular, individualized chattel, differentiated from college essay, all other articles of the same or similar nature. It must be taken by the legatee as and where he finds it. Testamentary capacity €” Absent evidence to the contrary, testamentary capacity will be presumed where the testator, in executing a will or other document, accurately recites the observation nature and extent of his property, and descriptive college, recognizes the natural objects of by ayn rand his bounty.

Witness as beneficiary €” A witness to a will may take under that will, providing said will can be proved in probate without his assistance. MODEL RESPONSE TO WILLS HYPOTHETICAL. Preliminary Overview €” The instruction points to parties who stand to take from T's estate. College. Each will be in thesis statement paper opposition to college anyone or anything that would prevent him from taking from T's estate. Step One €” X, Y, Z, B, and thesis statement for a, A vs. anyone or thing (including each other, T, the descriptive college state, or the estate) that stands between him and taking from T's estate. B v. Z seems a key conflict. Step Two €” [Each claimant must establish that the will or codicil upon thesis about homosexuality which he bases his claim is valid and descriptive college, controlling. Each will likewise seek to defeat a competitor claim. Legal precepts governing testamentary disposition set forth in my wills toolbox will come into play.

However, it would be inefficient and confusing to try to sort them out at this point. Better to focus on essays anthem one conflict at a time in the writing phase. Possibly there will be overlap of premises/discussion.] Step Three €” [Having declined to set forth the premises of the various parties in essay Step Two, I may as well go straight to the response. My impression is that once the controlling rules are set forth, analysis will be relatively uncomplicated.] Ability of a per stirpes witness, S, to take may be an interesting discussion. Preview of over rand a logical sequence of discussion €” Resolving which instrument controls seems the obvious first step.

Therefore, beginning with B v. Z would seem to descriptive college make sense. B and Z's rights [This label conforms to the instruction. B v. Z might confuse. But I'm thinking B v. Z!] As a general rule, a subsequent will that is entirely inconsistent with a prior will, or a later will that makes a complete disposition of the testator's property, shall be deemed to have revoked the prior willby implication. The 1998 will was inconsistent with the 1994 will and made a complete disposition of T's property, thereby revoking the 1994 will and Z's legacy. However, a properly executed codicil to a revoked will operates as a republication of thesis for a paper a will that is, in form, properly executed. This is so despite the fact that the will so republished may have been invalid for want of testamentary capacity at the time of making. The properly executed 1999 codicil republished the properly executed 1994 will, thereby restoring Z's legacy. The fact that T was sober when making the codicil moots any effect of T having been drunk when making the descriptive college 1994 will.

There being no evidence to the contrary, the fact that T in executing the codicil accurately recited the nature and extent of his property and thesis statement for a paper, recognized the natural objects of his bounty will establish his testamentary capacity in making the codicil. Although a will may be revoked by college means of physical destruction , such destruction must be accomplished with the intent and for the purpose of revoking the will. The circumstance that the original copy of the codicil was destroyed inadvertently in 2000 is thus of no avail to B. Conclusion : The 1998 will is revoked, and B takes nothing. Words List Essay. Z takes the rest, residue, and remainder of descriptive college T's estate under the 1999 codicil that revived the 1994 will. An ademption occurs when a specific legacy (i.e., a bequest of a particular, individualized chattel, differentiated from all other articles of the same or similar nature) is not in existence or not in the possession of the testator when he dies. When an ademption occurs, the legatee takes nothing. The racehorse, Swayback, appears to be such a particular, individualized chattel. In that Swayback was sold prior to T's death, the republication of the about homosexuality 1994 will is of no avail to X.

Conclusion : X takes nothing from T's estate, as his legacy has adeemed. A disposition to a beneficiary who predeceases the testator ordinarily lapses. By statute in many jurisdictions, however, dispositions to beneficiaries who are issue or siblings do not lapse, providing such beneficiaries have surviving issue. Such surviving issue will take the legacy in equal proportions per stirpes . Therefore, although Y predeceased T, Y's son, S, would take the $150,000, providing he is not disqualified by having witnessed the descriptive college essay now republished 1994 will. A witness to a will may take under that will, providing said will can be proved in writing statement for a probate without his assistance. College. A properly executed will implies at least two witnesses thereto who do not stand to take under said will. S was one of several witnesses to common app essays college confidential the 1994 will, implying that more than two persons witnessed the college essay will. Therefore, presumably two other witnesses exist to prove the will in probate.

NB: Arguably S should be permitted to take under the 1994 will per stirpes, even were he one of only two witnesses to the will. The rationale for not allowing a witness necessary to probate to take under the will being probated is presumably the conflict of interest posed. The reliability of a witness with a vested interest in having the will probated is compromised. Y, however, not S stood to take under the 1994 will. Had there been any consideration of Y predeceasing T, and and effect, therefore S taking, S probably would not have been asked to witness the will. However, it could also be contended that that was then, and now S does have a compromising vested interest. [This latter paragraph is not necessary. Descriptive Essay. However, it demonstrates the kind of interest and thoughtfulness that may catch a professor's attention and garner an app essays, A. Possibly it should be highlighted in some way, perhaps with a red star. I might even decide to put it on the blank page left at the beginning. (See p.75.)]

Conclusion : Y, having predeceased T, will take nothing. However, Y's intended legacy will go to the son, S, per stirpes . S's having witnessed the will under which he takes should not disqualify him, providing two others of the several witnesses to the will exist to prove it in college probate. The exemplar is, in fact, *my* exam essay answer, and if I say so myself, it's a pretty good LEEWS exemplar as well. What is surely wanted when confronted with a task such as what follows is a system whereby in structured, step-by-step fashion, the examinee knows exactly what is observation child development essays, wanted and how to proceed and present. For example, a LEEWS grad will immediately skip over the confusing fact pattern to the question/instruction, typically at the end, and perform Step One. A LEEWS grad has also read many such introductory instructions, and therefore will skim through quickly to note what, if anything, is new and/or unusual. Note that the average student managed less than 17 points out of a possible 45 on the essay exam versus Richard's 39 (!!). . It may be further noted that although these professors did not require a so-called IRAC format [and we commend that!), Richard's paragraphed response could easily have been conformed to a Follow IRAC instruction by merely introducing an issue statement before each paragraph, and a conclusion statement at the end.

LEEWS posits that in descriptive essay general issue statements are unnecessary, as starting a paragraph with law implies the issue, and conclusions are unimportant.] Civil Procedure I -- Exam Results -- Fall, 2006 (§ 11 = Prof Banks, § 12 = Prof Entman) Essays - 45 points. (a) transacting any business within this State; (b) causing tortious injury by an act or omission in this State; (c) causing tortious injury in this State by an act or omission outside this State if the person regularly does or solicits business, or engages in transition list any other persistent course of conduct, or derives substantial revenue from goods used or consumed or services rendered in this State; (d) owning, using or possessing any property situated in this State; (e) contracting to insure any person, property, or risk located within this State at the time of contracting.

Respond fully to the following memorandum from one of your employers. €śI Quit€ť is not a recommended answer. To: Associate. Re: First Commercial Industrial Bank v. Isolde. Date: Dec.

11, 2006. [Fact pattern (hypo)] Tristan and Isolde are partners in a furniture repair business. Their shop is in college the State of Swabia where most of their customers are from. Sometimes people from the nearby States of Prussia and Bavaria bring repair jobs to the shop in Swabia. Isolde was raised in Prussia and lived there with her parents until June, 2003, when she moved into an apartment in Swabia to essays over by ayn see if she would enjoy living away from home. In July, 2003, a vice-president of descriptive college First Commercial Industrial Bank of Prussia [€śFirst Commercial€ť] attended a lecture on furniture repair that Isolde gave in Prussia. He decided that Tristan and Isolde had a promising business and that the for cause essay bank would do well to procure their business. After receiving a letter at their shop offering the bank€™s services, Tristan and Isolde decided to borrow $150,000 from First Commercial.

By telephone, they requested the bank send them the paperwork at their shop. On August 15, 2003, Tristan and Isolde signed the loan papers at their shop and college essay, Tristan immediately took them to First Commercial€™s main office, located ten miles away in the State of Prussia. First Commercial then gave them a check for $150,000 minus closing costs of approximately $5,000. The loan agreement provided that its interpretation and validity would be governed by the law of a personal statement for a Prussia and descriptive, that it was to be repaid in essays anthem rand two years. Due to financial difficulties, Tristan and Isolde made only two payments on the loan. When First Commercial threatened to sue them, Tristan settled the bank€™s claim against him for $50,000. First Commercial then sued Isolde in the United States District Court for Prussia to collect the unpaid principal and interest. First Commercial€™s attorney served Isolde with process by registered mail, return receipt requested, to her at the shop in Swabia.

On May 15, 2005, after Isolde failed to respond to the complaint and summons, the court entered a default judgment against her for $100,000. On December 1, 2006, First Commercial sought to register the judgment against descriptive college essay Isolde with the United States District Court for common app essays confidential, the District of college essay Swabia. In conjunction that proceeding, First Commercial procured a writ of garnishment, attaching $10,000 that Isolde had in a bank account in Swabia. First Commercial also procured a writ of garnishment from the foreign thesis federal court in Bavaria, attaching a $5,000 debt owed to Isolde by college one of her customers there. [Question/instruction] We represent Isolde.

Please submit a memo to me discussing fully whether Isolde has any defenses she may raise to the enforcement proceedings in Swabia and Bavaria. Be sure to discuss fully any possible defenses that you may have considered and rejected and explain fully why you have rejected them. B. The next day, you receive the following memorandum from the same partner. Again, respond fully. To: Associate. Re: First Commercial Industrial Bank v. Isolde. Date: Dec. 12, 2006. I have now learned that Isolde was involved in an automobile accident in foreign about Swabia a week after she was served with process by registered mail. She was rendered unconscious for two days. An ambulance rushed her to college the nearest hospital, which was located in Prussia.

Three days after the over anthem rand accident, but while she was hospitalized in Prussia, a private process server acting on behalf of First Commercial served Isolde in her hospital bed with a another copy of the summons and complaint for essay, the same lawsuit. Given that she was served while in the state, it now seems to me that the thesis statement judgment of the federal district court in Prussia against Isolde is unquestionably valid and is enforceable in both Swabia and Bavaria. Please discuss fully whether you believe that assumption is valid and whether the college essay service on thesis for a business Isolde in the hospital establishes jurisdiction. The discussion below is a verbatim copy of a student€™s essay that received a top grade. Commentary by Professors Banks and Entman appears in descriptive college essay brackets. . [LEEWS note: We reprint this commentary in blue.]

LEEWS NOTE: “IRAC” (merely a formula for organizing analysis of an issue) prescribes a statement of I ssue to observation development essays precede the descriptive statement of R ule, and transition list for cause, the discussion ( A nalysis). (And C onclusion at the end.) The LEEWS paragraphing format posits that an abrupt statement of premise (relevant law) to begin a paragraph implies the issue, making a separate statement of issue unnecessary (thereby saving time). Richard's model response in LEEWS format does this. Our only suggestion is that underlining or boldfacing key words in descriptive college essay the preamble of writing a personal job in law — e.g., Subject matter jurisdiction in the opening paragraph, federal diversity statute in the next — to assist the professor in recognizing the topic (issue). Subject-matter jurisdiction. The federal courts are courts of limited jurisdiction; they can only hear certain types of claims as outlined in Article III of the US Constitution and as authorized by Congressional Statute. First Commercial will argue that the US District Court has subject-matter jurisdiction to hear this case based on college essay the diversity of words list citizenship of the college parties. First Commercial is a citizen of Prussia. Isolde has been living in Swabia for one month. [The facts do not give sufficient information to common app essays confidential know how long Isolde had been living in Swabia at the time First Commercial filed its complaint, which is the time at which jurisdiction must either exist or not. Descriptive College. At most, one can deduce that the suit was brought as early as November 2003 or as late as April 2005. Consequently, Isolde must have been living in observation child essays Swabia for more than one month, but not the two or three years that some students stated.] She can argue that she is still domiciled in Prussia, where she lived her whole life up to June of 2003, because she only moved to Swabia temporarily, to see €śif she would enjoy€ť life on her own. If Isolde is found to be a domiciliary of Prussia, then there is not diversity of citizenship and essay, thus no subject matter jurisdiction.

However, if Isolde is found to have relocated to Swabia with the intent of staying for the indefinite future, then the parties are diverse. The federal diversity statute also requires the essays over anthem by ayn rand amount in controversy to descriptive exceed $75,000. The $100,000 judgment against Isolde satisfies this requirement. N.B. [Please do not use abbreviations, including this one.] This action could not be brought under €śfederal question€ť jurisdiction because breach of contract is thesis about, a state common-law claim. Therefore nothing in the plaintiff€™s complaint arises under the descriptive Constitution and statement for a business, laws of the United States. Subject-matter jurisdiction is never waived, and in college essay this case, it has not been previously litigated, so it could be raised on collateral attack. Statement. However, it is more likely than not that the court will find that Isolde did move to Swabia with the intent to stay indefinitely, so the descriptive college essay District Court in Prussia probably did have subject-matter jurisdiction. Personal jurisdiction.

In the alternative, Isolde can argue that the a personal statement job in rendering court in Prussia lacked jurisdiction over the person. Because this has not been litigated, it can be raised on collateral attack in the enforcing court. [We would have preferred a discussion at this point that specifically points out that Isolde never even appeared in descriptive essay the first action. Most of transition list you could have improved your answers by making better use of the facts to support your analysis. The reason Isolde can raise personal jurisdiction on collateral attack is college, because she did not appear at all in the original action. Anthem By Ayn Rand. Since she did not appear, there is no reason to discuss Rule 12.] First, Isolde will argue that there are no traditional bases for establishing jurisdiction over her in Prussia. N.B.

The federal courts derive their personal jurisdictional reach from the state in which they are situated, so the District Court can exert personal jurisdiction over an out of state defendant only if the state court could do so. Isolde was not served with process with Prussia, so transitory [transient?] jurisdiction does not attach. Because it is necessary that she be domiciled in Swabia to establish diversity of citizenship, First Commercial cannot argue that she be subjected to personal jurisdiction on the basis of domicile. Even though the contract included a choice-of-law provision applying the laws of Prussia to possible disputes, that is not the same as a consent provision. [A surprising number of students referred to this as a forum selection clause. At least one student referred to descriptive essay it as a forum selection clause in common confidential part of the answer and a choice of law provision in another part of the same answer. Another specifically stated that it was a forum selection clause and not a choice of descriptive college essay law provision. Mistakes of this type may be attributable to sloppy reading of the writing job in facts but they are also a strong indication of a serious lack of preparation. Failure to descriptive devote sufficient time to study of the assigned materials frequently manifests itself in a person€™s demonstrated obliviousness to important distinctions. Others simply didn€™t know what to do with the fact, thus reflecting a failure to study the Burger King opinion and to pay attention to our class discussions of it.] Statutory basis. First Commercial will argue that the long-arm statute conferred specific jurisdiction over Isolde on the basis of the first of the enumerated acts: €śa) transacting any business within the State.€ť The claim for relief, the $100,000 breach of contract, arises from the defendant€™s act of entering into the loan contract, which First Commercial will argue was executed on Tristan€™s delivery of the transition words list for cause and effect essay loan documents to the Bank€™s main office in Prussia.

Isolde will counter that her act was signing the documents, which took place at college essay the furniture shop in Swabia. This is a valid argument so long as the court reads the statute literally and narrowly. However, if a court interpreted the statute broadly (See Gray v. American Radiator) it might find that the statute reaches the out of state act, the signing of the thesis statement contract, which causes an in college state result, the execution of the contract. [It is writing a personal teaching, probably not necessary to stretch the descriptive college construction of the statute as the court did in Gray to hold that it confers jurisdiction, given the facts of this problem. The statute covers transacting business in thesis for a paper the forum state €śdirectly or by an agent.€ť Like McShara in Burger King, Tristan was acting on behalf of the partnership (thus as an agent) in descriptive college essay delivering the over by ayn rand papers to the bank. Descriptive College Essay. The facts specifically state that Isolde, along with Tristan, signed the papers and that he immediately took them to the bank. You should never, as many of you did, overlook the statement that Isolde signed the words and effect papers or speculate that she may not have read them. There is simply no basis in descriptive the facts for speculating that Isolde didn€™t know what she was signing.

Indulging in speculation that she might not have reveals desperation.] Constitutional Standard. The Fourteenth Amendment to words list for cause and effect the US Constitution provides that no state shall deprive a citizen of life, liberty or property without due process of law. The U.S. Supreme Court defined the descriptive college due process standard as it relates to imposing personal jurisdiction on an out of state defendant in International Shoe: jurisdiction is constitutional only if the cause of action arises from the defendant€™s minimum contacts with the over by ayn rand forum, such that the assertion of jurisdiction would not offend traditional notions of fair play and substantial justice.

Assuming, arguendo, [LEEWS note: We teach the proper use of words like arguendo -- because they are useful and add a lawyerly caste to essay the presentation.] that the long-arm statute is sufficient to provide a statutory basis of jurisdiction over Isolde, would such jurisdiction be constitutional under the Shoe standard? [While it is transition words and effect, implicit in the answer that the descriptive college essay constitutional hurdle becomes important only if the court first accepts the argument that the common college statute confers jurisdiction, a perfect answer would have explained that relationship more fully.] Isolde will argue no, because the contact which gives rise to the claim, the signed loan contract, was brought into college the forum by the unilateral actions of a third party, Tristan. Therefore, Isolde did not purposefully avail herself of the statement business privileges of conducting activities in the forum, Prussia. First Commercial will counter that Tristan and college, Isolde were operating together to secure the loan. They reached into writing a personal statement for a job in the forum when they called First Commercial. Isolde knew that Tristan was taking the documents to Prussia, [run-on sentence, a sin committed by many students in these essays] therefore it was imminently [eminently] foreseeable that the descriptive college contract would be executed there, and she could reasonably anticipate being haled into court in Prussia over any disputes to the contract. (See Denckla, Worldwide VW). While there are some open questions regarding minimum contacts, the facts seem to favor First Commercial. In the alternative, [In addition?] can Isolde raise any of the fairness factors, defining €śfair play and substantial justice,€ť articulated in the US Supreme Court€™s Burger King decision? In weighing the relative burden on Isolde compared to the interest of First National in essays over anthem litigating in descriptive essay Prussia, it does not seem unfair to require Isolde to travel to a nearby state where she lived most of transition and effect essay her life and where she sometimes appears to give lectures. The interest of the forum state in adjudicating the dispute would be well served because of the choice of law provision; Prussia has an interest in essay adjudicating its own laws.

The interest of the for a teaching several states in descriptive college essay efficiency and public policy do not seem to enter the picture, so the writing job in fairness factors do not point to Prussia as an unfair forum for Isolde. Conclusion. Although Isolde has some colorable arguments, she probably cannot invalidate the original judgment on descriptive college essay a defense of lack of personal jurisdiction. [Many of you neglected altogether most of the issues about essays over rand validity of the Prussia judgment treated in the foregoing answer, instead discussing at essay length personal jurisdiction, subject matter jurisdiction, and service of process in the enforcement proceedings in Swabia and Bavaria. Such discussions reflect a lack of anthem knowledge of our classwork on Assignment 27, a failure to read the Shaffer v. Our writers are graduated students from the essay best Universities of the transition words list world. Ragtime By E.L Doctorow Essay, Research Paper. E.L. Doctorow’s Ragtime and the Rise of Women’s Liberation. One of the central themes of E.L.

Doctorow’s novel Ragtime is the tranformation of the leading female charactes of the novel from stereotypical repressed Victorian women into liberated and descriptive college even feminist heroines. Doctorow’s choice of the women’s movement as a theme is appropriate to the period of his novel, which is set in the decade between l906 and l9l5. About. This was an heroic period in the women’s movement, and the newspapers and books of the day were full of the scandalous affairs of women who were supposed to represent either the downfall or the triumph of their sex. In this essay, we will examine the rise of the women’s movement as it is reflected in the story of Ragtime to see how Doctorow utilized the events of the day to develop his mythical American archetypes. The women’s movement already had a long and vigorous history by the turn of the century, yet women in America remained nearly as oppressed as they had been half a century earlier, when the feminists of the Seneca Falls resolution voiced the following complaint: In marriage, a wife was compelled to descriptive essay pledge obedience and to give her husband “power to deprive her of her liberty.” In business, man “monopolized nearly all the profitable employments.” And in morals, woman suffered from an iniquitous double standard dictated by men who claimed it as their right to “assign for transition and effect essay, her a sphere of action, when that belongs to her conscience and her God.” In the Victorian atmosphere where the family unit was considered sacred, and the morals of descriptive college women suspect, the feminists of the latter l9th century inevitably ran against the tide of public opinion.

The whole question of female sexuality was considered taboo, as some feminists found out when they first gave voice to radical ideas: In the 1870s Victoria Woodhull, a friend of Susan B. Anthony and statement business paper Elizabeth Cade Stanton, endorsed free love and licensed prostitution in her weekly newspaper… Horace Greeley, among others, had previously stated that he could not support the feminists because they were too closely tied to the cause of free love. Now, Woodhull’s pronouncements, and her widely publicized association with feminists, appeared to confirm Greeley’s allegation… The typical attack upon the women’s movement, on every issue from labor reform to suffrage, was that women’s sexual instincts were too delicate (or too dangerous) to descriptive college essay be loosed upon the world. Such scandals supported the patriarchal contention that women could not be trusted with equality, but they also served to keep the observation essays women’s issues in the forefront of the American popular imagination. The three scandals of women at the turn of the century that Doctorow weaves into the tapestry of Ragtime are the shooting of Evelyn Nesbit, the outcry against prostitution that was raised by Theodore Dreiser’s novel Sister Carrie, and the persecution of the essay radical socialist Emma Goldman. Each of these stories shows a slightly different aspect of the condition of words and effect women in late Victorian times, and Doctorow clearly feels that they represent turning points in the popular attitude toward women. The influence of these famous figures on the lives of the fictional women of descriptive college Ragtime, Mother, Sarah, and the Little Girl, is profound, if slow in its development. The story of Evelyn Nesbit with which E. Common App Essays Confidential. L, Doctorow opens his novel was the “Champagne Murder” scandal in which Nesbit’s depraved husband, millionaire playboy Harry Thaw, shot and killed her lover, the prominent architect Stanford White, at the opening night of a musical at Madison Square Garden. Nesbit was a famed beauty, a photographer’s model who had been seduced by White at age 16 and had married Thaw at 20, apparently without abandoning her relationship with the older man. In the descriptive college tabloid press and magazines of the thesis statement business paper day, Nesbit was depicted as the ideal of beauty and charm:

She had an oval face, copper curls, hazel eyhes, a voluptuous mouth, and a splendid figure. Descriptive Essay. When Taw eventually came to trial, and his wife was called to transition give evidence, columnist Dorothy Dix wrote: “Her beauty consists in something as vague and intangible as that of a lily or any other frail or delicate thing. College. It is something that lies over by ayn, her face like a gossamer veil, infinitely appealing. The sordid details of Thaw’s murder trial revealed that Evelyn Nesbit was far from an descriptive essay, innocent, and that her lovers were both sadistic debauchees. Nevertheless, Nesbit’s reputation as a fatal beauty was only enhanced by the scandal. In Ragtime, Doctorow has the suggestible character known as Mother’s Younger Brother conceive an insane passion for Evelyn Nesbit, based on his reasoning that “the death of for a job in her lover Stanford White and the imprisonment of her husband Harry K. Thaw left her in need of the attentions of a genteel middle-class young man with no money.” This delusion is in part fostered by the hysteria of the college essay press at the trial, and the allure of Evelyn Nesbit took on an added dimension from the common confidential fact that she… …had caused the death of one man and descriptive college essay wrecked the life of another…from that he deduced that there was nothing in life worth having, worth wanting, but the embrace of her thin arms. Mother’s Younger Brother is a fanatic who later leads an armed band in the army of Coalhouse Walker, Jr., and ultimately escapes to Mexico afther Walker’s capture and execution. With respect to thesis about his infatuation with Evelyn Nesbit, however, he simply follows the sexual stereotype of the Gibson Girl that prevailed in that period.

Doctorow has Nesbit’s story tie in with the theme of radical feminism in this period by bringing her to social consciousness, then having her friend Tateh take her to a socialist meeting where the firebrand Emma Goldman is speaking. Goldman represented all of the descriptive essay most dangerous and radical ideas of writing a personal statement job in feminist socialists at that time, and having Goldman instruct the sexual slave Nesbit offers the maximum contrast of feminine archetypes: In five minutes Evelyn was immersed in the bracing linguistics of radical idealism. She didn’t dare confess to Tateh that she had no idea socialism and anarchism weren’t the same thing, or that the idea of seeing the notorious Emma Goldman frightened her… Goldman’s speech is a fiery harangue in essay which she challenges the audience, “…can you socialists ignore the double bondage of one-half of the human race?” In attacking marriage, Goldman attacked the most sacrosanct of Victorian institutions, and the reaction of more traditional socialists like Tateh shows why the thesis business most radical feminists of this period were regarded as beyond the pale by many progressives and leftists. In the remarkable erotic scene between Emma Goldman and Evelyn Nesbit, all of the most radical ideas of feminism are given voice in essay a single episode: freedom from the corset, lesbianism, the female orgasm, and the repudiation of thesis statement for a marriage. Yet the real significance of Evelyn Nesbit’s radical liberation lies in it connection to a more important liberation, that of Mother in descriptive college essay her new freedom from Father. The episode in thesis statement business paper which the pregnant black girl Sarah and her baby are taken in at the family house marks a turning point in essay Mother’s life. After Father returns from the North Pole Expedition with Peary, he finds his wife a changed woman:

He looked in Mother’s eyes to detect their his justice. He found instead a woman curious and alerted to his new being… She was in some way not as vigorously modest as she had been. She took his gaze. She came to bed with her hair unbraided. In a pattern that is the reverse of Evelyn’s, Mother discovers the freedom of her sexuality through the rebirth of teaching her social conscience and nurturing instinct. She epitomizes the mature Victorian woman’s plunge into the women’s movement, and essay the quick pace that emancipation took after respectable women of the upper-middle classes took a part in securing the vote. Much of the concern with the sexual fate of women that Doctorow explores in Ragtime was quite clearly inspired by the example of Theodore Dreiser, the great American realist writer whose novel Sister Carrie had been widely attacked and suppressed because of the thesis for a business frank treatment of the subject of descriptive college essay prostitution it contained. There is a poignant scene in Ragtime which shows Dreiser “suffering terribly from the bad reviews and college confidential negligible sales of his first book Sister Carrie,” and essay which can be taken as an acknowledgement by Doctorow of his debt to Dreiser. Sister Carrie was in fact a bold attack on sexual hypocrisy, which showed how the structures of Victorian marriage and economic disenfranchisement combined to drive many women into prostitution. The novel’s scandal can certainly be regarded as one of the landmark events in thesis statement the women’s movement in this period, even if Dreiser was not a true feminist.

His moral theme was directed as much against the corruption of men by lust as against the degradation of women by sex. As Dreiser’s seducer, Hurstwood “looked upon most women with suspicion– a single eye to descriptive college essay the utility of beauty and dress.” This is the rogue who first proposes to Carrie that she just “come away” with him, becoming his mistress. At first, Carrie is “struck as by a blade with the miserable provision whicdh was outside the pale of transition words list for cause and effect marriage.” Eventually, however, Carrie is forced by desperation to prostitute herself in order to survive at all. The relevance of Sister Carrie to the women’s movement lies in its sinister prediction of the fate of women who are left to fend for themselves in descriptive college the moral wilderness of the American city. Carrie is the ideal object of the women’s movement’s projects such as Hull House in foreign Chicago, which strove to save the virtue of young girls coming to the city. Carrie’s bafflement at her own descent into college despair is despair at the conflict between ideals and reality: The glamour of the high life of the city had, in the few experiences afforded her by the former, seized her completely. She had been taught how to dress and where to list essay go without having ample means to essay do either…The more circumscribed became her state, the more entrancing seemed this other.

And now poverty threatened to seize her entirely… Yet it was one of the common confidential chief goals of the women’s movement of this period to prevent young women from descriptive college being forced into observation child development essays marriage at college essay, the expense of essays over rand a career and a life of their own. Descriptive. The contradiction implied by the repudiation of thesis for a paper marriage on the one hand, and the struggle against oppression and prostitution on the other, can only be understood when prostitution is seen as the other side of the coin of Victorian sexual mores. The central issues of radical feminism are all explored in Ragtime, and Doctorow evidently recognizes that the turn of the century was a crucial period in the development of the women’s rights. Before suffrage and equality before the law were granted, the legal and moral rightness of the women’s movement could hardly be disputed. As Midge Decter, one of the movement’s severest critics from within, points out,

The early Feminists were forced not onlly to demand the essay vote but to establish in statement for a business theory their right to college essay it, as they did their right to be educated, to own property, to run for public office, or to sue someone in a court of law… Today, when the issues of child development essays discrimination are more subtle and subjective, it is college essay possible to argue as Decter does that many of the injustices suffered by women are self-inflicted. Such was not the case at the turn of the century, when the prostitution of a Sister Carrie seemed the only viable alternative to the subjugation to husband or the enslavement to the sweatshops for common college confidential, many women. All of these issues are explored, directly or indirectly, in Ragtime. The problem of marriage and legitimacy is explored through the relationship of Coalhouse Walker, Jr. and essay Sarah, and their tragic end suggests that Doctorow takes a jaundiced view of the common belief that legal marriage solves all the problems of the womanh’s situation. The opposing themes of the courtesan and the radical feminist, as developed through the characters of Evelyn Nesbit and Emma Goldman, point to college essay the larger conflict faced by intellectually and sexually active women in confronting a repressed Victorian society. The closest parallel to Dreiser’s indictment of prostitution and statement teaching the conditions which cause it can be found in the story of Mameh, who is repudiated by Tateh after she is forced to prostitute herself to survive. At the same time, Ragtime concludes with what can only be seen as a restatement of the basic theme that woman’s salvation is to descriptive college be found in a happy marriage with a good man and plenty of children.

Mother, who is in the final analysis the central female character of the book, wanders away from the strictures of her Victorian marriage even before Father dies in the sinking of the app essays college Lusitania; Father, of course, had already violated the descriptive essay marriage compact with Eskimo women in the course of his expedition, a feat which reflects the double-standard that Victorian men applied to vows of development marital fidelity. At the conclusion of the book, however, Mother emigrates to California with Tateh, and finds in their combination of qualities the basis for a new and stable marriage relationship. As Doctorow relates their courtship and elopement, Mother wore black for a year. At the end of this time Tateh, having ascertained that his wife had died, proposed marriage. he said I am not a baron, of course.

I am a Jewish socialist from Latvia. Mother accepted him without hesitation…Their marriage was joyful though without issue. The socialist-feminist conjunction of their marriage is descriptive college essay clearest in their role as parents to foreign thesis about homosexuality children from previous marriages and the orphaned child of Coalhouse and Sarah. Descriptive College. Mother and Tateh have grown beyond the conventional marriage and elevated their nurturing role to a universal plane. All of the events in Ragtime take place before the liberating effects of World War I, after which Freud, women’s suffrage, and overt female sexuality were to take their place in essays over anthem rand the American cultural framework. The obvious relationship between Doctorow’s book and Dreiser’s Sister Carrie is ironic, since Dreiser was perhaps the definitive literary realist and Doctorow is perhaps the most unbelievable and unrealistic of novelists. Yet in their treatment of the basic women’s problems of marriage, sexuality, childrearing and social equality, Doctorow and Dreiser were perhaps closer than they appear. College. Doctorow’s book focuses on the turning point in the women’s movement in America, and forces the most radical and libertarian ideas directly into the heart of the American nuclear family.

The result is a fascinating, if uneven and unbelievable, account of the progress of confidential women in the first years of the century. From courtesan, prostitute and descriptive essay housewife, the women of Ragtime develop into college confidential dedicated and descriptive essay determined battlers for freedom; some of them gain that freedom, and others are lost in the struggle, as Doctorow notes at the novel’s end: “We had fought and won the war. The anarchist Emma Goldman had been deported. For Cause And Effect. The beautiful and passionate Evelyn Nesbit had lost her looks and fallen into college obscurity.” But out of their struggle, the first real women’s victories were gained. Chafe, William H. Complete blood count (CBC) and reticulocyte (Retics) are routine hematology tests useful for the differential diagnosis of anemia and other medical conditions. However, it has been presumed that they are not used as regular as they should be in medical practice in descriptive, Addis Ababa hospitals. A hospital-based cross-sectional questionnaire survey was conducted during November-December 2010, in which 408 clinicians participated and writing a personal for a job in teaching their response on the use of CBC and Retics was assessed. The always/frequently (A/F) response was considered to reflect routine use of the CBC/Retics parameters by the clinicians.

The Chi square test was used to descriptive essay study statistical associations among different variables. Only four of 13 parameters in CBC were frequently or always used by more than 85% of the clinicians. Health Officers were observed to use 12 of the 13 CBC parameters less than the other professional group; interns and residents demonstrated highest use of CBC results. More than a third of clinicians’ preferred white blood cell (WBC) differential report in percentages than the statement for a business more useful absolute number report. Reticulocyte parameters were not being used by majority of clinicians in patient management. Clinicians rated ‘average’ regarding the adequacy of descriptive clinical laboratory methods course they took during medical education. As service users, clinicians indicated mm 3 as unit of preference in cell count on the laboratory report form. Overall, most clinicians do not use much of the data provided on routine CBC report.

Additional research is needed to understand the issue further. Responsible bodies should promote the appropriate use of CBC/Retics reports by thesis clinicians. Clinical information obtained from descriptive college, laboratory tests play a key role in the diagnosis and essays management of patients [1]. A number of studies have shown that although physicians commonly request laboratory tests, they tend to use them for the wrong purposes, and ignore or misinterpret the results; such improper utilization and interpretation have obvious implications for the quality of patient care, and the economy as a whole [2,3]. The complete blood count (CBC) and reticulocyte (Retics) parameters are hematologic tests essential in the diagnostic workup of a broad variety of clinical conditions, mainly in the differential diagnosis of anemia and related disorders [4] which are commonly seen in Addis Ababa hospitals [5]. A study on descriptive college, women of reproductive age in Ethiopia reported that the child development essays leading causes of anemia are iron and vitamin B12 deficiency and descriptive college essay chronic infections [5]. Clinicians do not always use objective data effectively, and the practice can potentially lead to increases in care costs as well as mortality and and effect morbidity [6]. However, it is possible to correct flawed decision making due to inappropriate data utilization by a variety of approaches such as improving the descriptive college laboratory form design, clinicians’ education in child development, laboratory based course, and implementing feedbacks from essay, clinicians [3,7,8]. In Ethiopia no documented data exists regarding the thesis for a use and descriptive college interpretation of hematological parameters in clinical practice.

In addition, feedback of physicians on appropriateness of the CBC report design and the educational background of child essays clinicians in laboratory based course has not been studied. College! This study aims at ascertaining the list for cause essay extent of use of college essay CBC/Retics results, and feedback of clinicians on CBC in Addis Ababa hospitals. A cross-sectional, questionnaire-based survey was conducted in Addis Ababa hospitals in November and December 2010. Clinicians involved in business, the diagnosis and treatment of patients in Addis Ababa hospitals, including interns, residents, health officers (*HO), general practitioners (GP), and specialists participated in the survey . Descriptive Essay! Self administered questionnaires were sent to the medical director or administrative body of each hospital, and clinicians were asked to provide their feedback. [*HO: Health Officers in Ethiopia are medical graduates who undertake promotive, preventive, curative and rehabilitative services compatible to the needs of the population; are public health oriented and have less years of training than medical doctors]. The questionnaire used in the survey asked physicians to rate the frequency of use of thesis paper each component of the CBC/differential and reticulocyte reports for patient management. Items included in a CBC test report were white blood cell count (WBC), WBC differential, hemoglobin (HGB), hematocrit (HCT), red blood cell (RBC) count, mean cell volume (MCV), mean cell hemoglobin (MCH), mean cell hemoglobin concentration (MCHC), red cell distribution (RDW), platelet (PLT) count, mean platelet volume (MPV), platelet distribution width (PDW) and morphologic comments on RBC and WBC. [Various automated hematology analyzers of essay different manufacturers are used in Addis hospitals: Cell Dyn 1800 and Sysmex are used commonly for CBC; Abbot Cell Dyn 3200, Beckman Coulter LH 500 and Sysmex - 2000 x i are used for CBC and Retics].

As a strategy, clinicians use the facility of words list other private or central laboratory services whenever they require an essential test. Reticulocyte reports included were the reticulocyte percentage, reticulocyte absolute count, reticulocyte production index (RPI) and college essay the corrected reticulocyte count. Five response options (Always, Frequently, Sometimes, Rarely, and Never) were used to a personal statement for a teaching rate use of CBC/Retics parameters. The always/frequently response was considered to be adequate or to college reflect routine use of the CBC/Retics parameter by the clinicians. Physicians were also asked to job in indicate their preferences of essay differential reports either in percent, absolute count or both, and common confidential provide their opinion about the amount of data contained in the CBC reports (too little, too much, or just right), and preferred unit of measurement in cell count. Clinicians also provided their feedback on the adequacy of the clinical laboratory methods course (CLM) during their medical training. The Chi Square test was used to determine statistically significant association between groups.

SPSS statistical package version 17 was used for data analysis. The study proposal was defended in the school of Medical Laboratory Sciences and college approved by the Institutional Review Board (IRB) of Addis Ababa University, School of Medicine. The Addis Ababa Health Bureau, the words list for cause and effect essay administration and the Medical Director Office of the hospitals were requested for permission and cooperation to conduct the college essay survey. Words Essay! Individual consent was obtained from all participants. The survey assessed the frequency of descriptive college use of over rand CBC and reticulocyte reports by a total of 408 clinicians from 34 public and private hospitals in Addis Ababa. The response rate was 100%. Majority of the respondents were GPs and specialists with clinical experience of less than 5 years (Table 1). Table 1. Essay! Only 4 of the college essay 13 parameters in foreign about homosexuality, the CBC (hemoglobin, haematocrit, WBC count, and WBC differential) were frequently or always used by descriptive more than 85% of the physicians (Table 2). Three parameters were never or rarely used by the majority of clinicians, namely: RDW (67%), PDW (70%) and MPV (68%). Interns and resident doctors used most of the CBC parameters more frequently than the other professional categories. HO’s showed lesser ratings to more component of the CBC (12/13) than the other professional group. Table 2. Rate of use of CBC parameters by profession in Addis Ababa hospitals Nov 2010-Dec 2010.

WBC differential was reported to a personal statement for a be used always or frequently by 90% of the essay clinicians. Slightly less than half of the clinicians (46%) preferred WBC differential to be reported in absolute numbers and percentages, 39% in percentages only and 15% in absolute numbers only. Some of CBC parameters have significant association among the professional group: RBC (p 0.001), MCV (p 0.001), MCH (p 0.001), PLT (p 0.001), MCHC (P 0.01) and RDW (p 0.05). There is also significant association among the specialties and use of RBC (p 0.01), MCHC (P 0.05), and MCV, MCH (p 0.001). Internists highly rated use of writing CBC parameters than the other specialist counterpart (Table 3). Table 3. Out of the clinicians who use the descriptive college essay parameter, 52% preferred to receive the writing a personal for a reports as percentages while 41% preferred absolute numbers (Table 4). Table 4. Rate of use of descriptive college reticulocyte parameters by clinicians in Addis Ababa hospitals, Nov 2010-Dec 2010 (n = 408) Feedback of clinicians and observation child adequacy of CLM course. Majority of the clinicians preferred mm 3 as units of measurement of cell count. Regarding the amount of data on the CBC laboratory report, most (66%) of the clinicians reported it is ‘just right’; 11% of them responded as ‘too little’ . Clinicians also expressed their opinion on the adequacy of CLM course in medical education; and the majority (61%), reported average satisfaction (Table 5).

Table 5. Descriptive College! Feedback of clinicians in Addis Ababa hospitals on CBC and adequacy of foreign thesis about CLM course from Nov 2010-Dec 2010. This study showed that the descriptive college essay use of CBC and reticulocyte results for clinical decision making in patient management in Addis Ababa hospitals was inadequate. The study also identified several patterns of CBC/Retics use that might help in the design of computerized laboratory reports and laboratory information system (LIS) in Ethiopia. The red cell indices: The study indicated that HCT and HGB were the most frequently used red cell measurements by the majority of clinicians. Contrarily, almost half of the clinicians do not frequently use RBC count. Other studies have also reported that RBC count is not used commonly in decision making [9]. MCV, MCH, MCHC and RDW are important in the differential diagnosis of anemia. In this survey it was found that the development use of MCH and MCHC was low similarly in other studies [4,10]. MCV is descriptive college essay, regarded as the single most useful and critical erythrocyte index in the evaluation of anemia [9,10].

Nevertheless, this survey revealed that only a third of the clinicians used this key parameter frequently in the classification of anemia. It is a daily practice to treat anemia in Addis Ababa hospitals [5], and despite the fact that the first step in approaching anemia is to writing a personal statement for a job in classify the process as microcytic, normocytic or macrocytic using this valuable diagnostic tool, clinicians in Addis Ababa have differently very low use of the MCV [4,10]. RDW was found to college be used even much less frequently compared with other red cell indices. In another study, it has been shown that the majority of the clinicians [10] reported to use RDW always or frequently; however, it has been also reported that RDW is a largely overlooked parameter [11]. Among the professionals, interns and residents demonstrated a highest rate of use which is assumed more of superfluous [7,12]. And Effect Essay! MCV was rated to be used by 38% of college Specialists 28% of GPs and about 16% of HOs. RDW was reported to be used highest by specialists (15%) GPs (11%) HOs (2%). This difference can be because specialists are geared to look for differential diagnoses; which orient them toward laboratory workups [12] than GPs and descriptive HOs [13,14]. Foreign About! Moreover, MCV was used more frequently in internal medicine departments as internists tend to treat more cases of anemia and other internal disorders compared to specialists in other categories.

Obtaining a peripheral blood smear (PBS) during the essay initial evaluation of for cause and effect essay anemia has been recommended by other researchers as it gives additional clues from morphologic features of essay RBC and WBCs which substantially enhances the initial process of differential diagnosis and provides guidance for common app essays college confidential, further testing [4]. This survey found only 19% of the descriptive college essay clinicians use RBC morphology in development, most of the cases, while the Sandhaus study found 52% of the clinicians use RBC morphology always and frequently for anemia diagnosis and differentiation [10]. The present survey indicated that the MPV and descriptive PDW are perceived by clinicians as the least useful index. Only less than 10% of the clinicians reported that they use the MPV or PDW frequently or always in over anthem, medical practice. In spite of the essay clinical benefits of platelet parameters, the contribution of the MPV and PDW to common confidential clinical practice in Addis Ababa hospitals was low. WBC count, WBC differential and unit of reporting. The data from the survey showed 93% of clinicians use the WBC count in most of the cases. Likewise, 90% of the clinicians use the WBC differential mostly in medical practice. In WBC differential report, absolute reports are more explanatory and useful than percentage count. The present study showed that more than a third of the descriptive college clinicians prefer percentages of WBC differential than the more useful absolute numbers. This indicates that a significant number of the clinicians interpret differential reports incorrectly, and may not be obtaining the valuable information required, which could mislead diagnosis.

The use of the reticulocyte parameter in Addis Ababa hospitals is foreign thesis homosexuality, quite low. Lack of hematology analyzers that perform both CBC and Retics in most hospitals can largely limit Retics use; yet as a strategy clinicians could use extra laboratory services when additional investigations are required. Descriptive College Essay! The use of foreign about reticulocyte count as percentage and descriptive college essay absolute unit assessed from the frequency of use of reticulocyte parameter indicated that slightly more than half of the clinicians claimed to use reticulocyte count in percentage units. Development! Reticulocyte count is used more by internists among the specialty (data not shown). Feedback of clinicians on complete blood count.
